Terms Of Service

Introduction
Welcome to gameserverads.com. This website is owned and operated by MOTDgd Ltd. We may also refer to ourselves as MOTDgd in our policies. By visiting our website and accessing the information, resources, services, products, and tools we provide, you understand and agree to accept and adhere to the following terms and conditions as stated in this policy (hereafter referred to as ‘User Agreement’), along with the terms and conditions as stated in our Privacy Policy (please refer to the Privacy Policy section below for more information).

This agreement was revised on the 15 February 2018 and remains in full force alongside any revisions. If any clauses or parts in these terms are revoked by a court of law then the rest of the unrevoked terms will still apply and are fully binding.

We reserve the right to change this User Agreement from time to time without notice. You acknowledge and agree that it is your responsibility to review this User Agreement periodically to familiarize yourself with any modifications. Your continued use of this site after such modifications will constitute acknowledgement and agreement of the modified terms and conditions.

Responsible Use and Conduct
By visiting our website and accessing the information, resources, services, products, and tools we provide for you, either directly or indirectly (hereafter referred to as ‘Resources’), you agree to use these Resources only for the purposes intended as permitted by (a) the terms of this User Agreement, and (b) applicable laws, regulations and generally accepted online practices or guidelines.

Wherein, you understand that:
a. In order to access our Resources, you may be required to provide certain information about yourself (such as identification, contact details, etc.) as part of the registration process, or as part of your ability to use the Resources. You agree that any information you provide will always be accurate, correct, and up to date.

b. You are responsible for maintaining the confidentiality of any login information associated with any account you use to access our Resources. Accordingly, you are responsible for all activities that occur under your account/s.

c. Accessing (or attempting to access) any of our Resources by any means other than through the means we provide, is strictly prohibited. You specifically agree not to access (or attempt to access) any of our Resources through any automated, unethical or unconventional means.

d. Engaging in any activity that disrupts or interferes with our Resources, including the servers and/or networks to which our Resources are located or connected, is strictly prohibited.

e. Attempting to copy, duplicate, reproduce, sell, trade, or resell our Resources is strictly prohibited.

f. You are solely responsible any consequences, losses, or damages that we may directly or indirectly incur or suffer due to any unauthorized activities conducted by you, as explained above, and may incur criminal or civil liability.

g. We may provide various open communication tools on our website, such as blog comments, blog posts, public chat, forums, message boards, newsgroups, product ratings and reviews, various social media services, etc. You understand that generally we do not pre-screen or monitor the content posted by users of these various communication tools, which means that if you choose to use these tools to submit any type of content to our website, then it is your personal responsibility to use these tools in a responsible and ethical manner. By posting information or otherwise using any open communication tools as mentioned, you agree that you will not upload, post, share, or otherwise distribute any content that:

i. Is illegal, threatening, defamatory, abusive, harassing, degrading, intimidating, fraudulent, deceptive, invasive, racist, or contains any type of suggestive, inappropriate, or explicit language;
ii. Infringes on any trademark, patent, trade secret, copyright, or other proprietary right of any party;
iii. Contains any type of unauthorized or unsolicited advertising;
iiii. Impersonates any person or entity, including any gameserverads.com employees or representatives.

We have the right at our sole discretion to remove any content that, we feel in our judgement does not comply with this User Agreement, along with any content that we feel is otherwise offensive, harmful, objectionable, inaccurate, or violates any 3rd party copyrights or trademarks. We are not responsible for any delay or failure in removing such content. If you post content that we choose to remove, you hereby consent to such removal, and consent to waive any claim against us.

h. We do not assume any liability for any content posted by you or any other 3rd party users of our website. However, any content posted by you using any open communication tools on our website, provided that it doesn’t violate or infringe on any 3rd party copyrights or trademarks, becomes the property of MOTDgd, and as such, gives us a perpetual, irrevocable, worldwide, royalty-free, exclusive license to reproduce, modify, adapt, translate, publish, publicly display and/or distribute as we see fit. This only refers and applies to content posted via open communication tools as described, and does not refer to information that is provided as part of the registration process, necessary in order to use our Resources. All information provided as part of our registration process is covered by our privacy policy.

i. You agree to indemnify and hold harmless MOTDgd and its parent company and affiliates, and their directors, officers, managers, employees, donors, agents, and licensors, from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of this User Agreement or the failure to fulfil any obligations relating to your account incurred by you or any other person using your account. We reserve the right to take over the exclusive defense of any claim for which we are entitled to indemnification under this User Agreement. In such event, you shall provide us with such cooperation as is reasonably requested by us.

Privacy
Your privacy is very important to us, which is why we’ve created a separate Privacy Policy in order to explain in detail how we collect, manage, process, secure, and store your private information. Limitation of Warranties
By using our website, you understand and agree that all Resources we provide are “as is” and “as available”. This means that we do not represent or warrant to you that:
i) the use of our Resources will meet your needs or requirements.
ii) the use of our Resources will be uninterrupted, timely, secure or free from errors.
iii) the information obtained by using our Resources will be accurate or reliable, and
iv) any defects in the operation or functionality of any Resources we provide will be repaired or corrected.

Furthermore, you understand and agree that:
v) any content downloaded or otherwise obtained through the use of our Resources is done at your own discretion and risk, and that you are solely responsible for any damage to your computer or other devices for any loss of data that may result from the download of such content.
vi) no information or advice, whether expressed, implied, oral or written, obtained by you from MOTDgd or through any Resources we provide shall create any warranty, guarantee, or conditions of any kind, except for those expressly outlined in this User Agreement.

Limitation of Liability
In conjunction with the Limitation of Warranties as explained above, you expressly understand and agree that any claim against us shall be limited to the amount you paid, if any, for use of products and/or services. MOTDgd will not be liable for any direct, indirect, incidental, consequential or exemplary loss or damages which may be incurred by you as a result of using our Resources, or as a result of any changes, data loss or corruption, cancellation, loss of access, or downtime to the full extent that applicable limitation of liability laws apply.

Copyrights/Trademarks
All content and materials available on gameserverads.com, including but not limited to text, graphics, website name, code, images and logos are the intellectual property of MOTDgd, and are protected by applicable copyright and trademark law. Any inappropriate use, including but not limited to the reproduction, distribution, display or transmission of any content on this site is strictly prohibited, unless specifically authorized by MOTDgd.

Termination of Use
You agree that we may, at our sole discretion, suspend or terminate your access to all or part of our website and Resources with or without notice and for any reason, including, without limitation, breach of this User Agreement. Any suspected illegal, fraudulent or abusive activity may be grounds for terminating your relationship and may be referred to appropriate law enforcement authorities. Upon suspension or termination, your right to use the Resources we provide will immediately cease, and we reserve the right to remove or delete any information that you may have on file with us, including any account or login information. Suspension (also known as an account access limitation, limited account) will result in all pending and future pending withdrawal requests being held indefinitely.

Governing Law
This website is controlled by MOTDgd Ltd from our offices located in the United Kingdom. It can be accessed by most countries around the world. As each country has laws that may differ from those of the United Kingdom, by accessing our website, you agree that the statutes and laws of United Kingdom, without regard to the conflict of laws and the United Nations Convention on the International Sales of Goods, will apply to all matters relating to the use of this website and the purchase of any products or services through this site.

Furthermore, any action to enforce this User Agreement shall be brought in Her Majesty’s courts of England & Wales located in the United Kingdom. You hereby agree to personal jurisdiction by such courts, and waive any jurisdictional, venue, or inconvenient forum objections to such courts.

Guarantee
UNLESS OTHERWISE EXPRESSED, MOTDgd EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Payment
We make a payment after the terms of a withdrawal request have passed, that being NET60 by the middle of the month. All pending earnings are an estimate and therefore can be subject to change until made into a withdrawal request on the 1st of every month. We reserve the right to hold payment if we suspect fraudulent use of your advertisement without limitation (e.g. false impressions) as determined by MOTDgd Ltd at our sole discretion. We also retain the right to hold payment whereby you are in breach of our terms of service again using our discretion, and where you are then subsequently suspended or prohibited from using our services thereafter. There’s a minimum requirement of $1.00 USD on the confirmed balance in order for us to be able to create the automatic withdrawal request. The ‘due date’ for a withdrawal request is an estimate and as such we may pay it slightly early or slightly late, it completely depends on when we receive the revenue from the ad partner(s).

Traffic Quality
In order to maintain a good reputation with our advertisers, we may need to curb members which send us low quality traffic. This usually means we may impose a frequency cap on those with any of the following (or in combination): A poor CTR (click-through rate), low completion rates, and a low TRAQ score (poor ad viewability), while those with a good CTR, completion rates and TRAQ score will receive a minimal frequency cap (in most cases, none at all). In some cases where accounts have a consistently poor/low: CTR and/or completion rate, and/or a low TRAQ score  we may be forced to suspend or terminate that account. We reserve the right to decide what a bad CTR or completion rate or TRAQ score  is,  and to take one or more actions as necessary, and are not required to provide the account holder with notice or details.

Traffic/Activity Restrictions
Please avoid using or encouraging the use of any of the following types of traffic/activity on our: plugin/advertisement URL(s); tag(s); MOTDgd (in general):
– Proxies of any kind
– TOR nodes
– VPN servers
– Bots/botnets and exploit scanners
– Traffic exchanges
– Traffic incentivising
– Unapproved custom plugins
– Unapproved domains and/or implementations
– Getting traffic from unapproved sources/websites
- Looking a redirect URl to the ad page/multiple ad page instances
– Looping ads in the background
– Encouraging users to mute ads
– Showing ads from another network simultaneously/or before MOTDgd
- Showing ads intentionally: out the fold/out of view/not fully viewable/in the background
– Spamming ad requests
- Illegitimate/false clicking on ads
- Muting our ads en-massse
- Sharing your account password with others: which subsequently results in TOS violation
- Hacking/using other accounts without an account holders permission
- Soliciting/promoting MOTDgd's competitors to other members
- Having duplicate accounts (without MOTDdgd's permission)
- Detected as having invalid traffic internally/externally through our partners: reasonable suspicion is sufficent
- Poor quality traffic (see traffic quality clause) – Monetising sources/servers that don’t belong to you

a) If a reasonable number of the ad requests made in the last hour consist of the above traffic types then your account may be suspended or at the very least flagged for investigation. We reserve the right to decide what is a reasonable number and are not required to provide you with details regarding this.

b) If your activity is prohibited by our TOS then the same principle as "a)" applies: in terms of investigation or suspension.

Duplicate Accounts
You may not have more than one account on any occasion unless you have our express permission first.

Communication
Occasionally we may contact you via email or our Steam community group (if subscribed). By signing up you agree that, by default, you will be added to a subscribers list for email purposes. Emails we send may be important (e.g. account information), or purely for announcement purposes. Any announcements we send can be unsubscribed from, but may also stop any and all further communications via email from us to yourself.

Conflict of Interest and Exclusive Usage
You agree, by using MOTDgd, that you will use MOTDgd as your primary advertisement source and not a similar ad partner/competitor service as the primary source for the duration of your MOTDgd account being active. Active means that your account is not limited access, whether or not it has recently had actual activity. Failure to comply to this clause, unless you’ve had our approval to an exception, may result in suspension and/or termination of your MOTDgd account, and as such may also result in you forfeiting your earnings.

Privacy Policy

This Privacy Policy governs the manner in which MOTDgd collects, uses, maintains and discloses information collected from users (each, a “User”) of the http://gameserverads.com website (“Site”). This privacy policy applies to the Site and all products and services offered by MOTDgd.

MOTDgd is registered with the ICO (Information comissioner) in the UK, under Data Protection Act laws; MOTDdgd also acknowledges the EU General Data Protection Regulation (GDPR).

Personal identification information
We may collect personal identification information from Users in a variety of ways, including, but not limited to, when Users visit our site, register on the site, subscribe to the newsletter, fill out a form, and in connection with other activities, services e.g. payment, features or resources we make available on our Site. Users may be asked for/as appropriate we collect: name, email address, mailing address, Paypal email or bank payment information. Users may, however, visit our Site anonymously. We will collect personal identification information from Users only if they voluntarily submit such information to us. Users can always refuse to supply personally identification information, except that it may prevent them from engaging in certain Site related activities.

Our users have a right to request (e.g. via email) information we hold about them; users also have a right for their accounts and information to be erased on request; users have a right to withold specific information/data gathering on request (which may impact on our services).

Non-personal identification information
We may collect non-personal identification information about Users whenever they interact with our Site. Non-personal identification information may include: the browser name, the type of computer and technical information about Users means of connection to our Site, such as the operating system and the Internet service providers/IP, and game server IPs utilized and other similar information.

Web browser cookie policies
Our Site may use “cookies” to enhance User experience. User’s web browser places cookies on their hard drive for record-keeping purposes and sometimes to track information about them. User may choose to set their web browser to refuse cookies, or to alert you when cookies are being sent. If they do so, note that some parts of the Site may not function properly.

How we use collected information
MOTDgd may collect and use Users personal information for the following purposes:
– To improve customer service
Information you provide helps us respond to your customer service requests and support needs more efficiently.
– To personalize user experience
We may use information in the aggregate to understand how our Users as a group use the services and resources provided on our Site.
– To improve our Site
We may use feedback you provide to improve our products and services.
– To process payments
We may use the information Users provide about themselves when placing an order only to provide service to that order. We do not share this information with outside parties except to the extent necessary to provide the service.

Ads appearing on our site may be delivered to Users by advertising partners and ad verification partners, who may set cookies. This information allows ad networks to, among other things, deliver targeted advertisements that they believe will be of most interest to you.
